The Engie offering structure involves its controlling shareholder, Engie Brasil Participações, subscribing R$5.74 billion of the total by transferring its 40% stake in the Jirau hydroelectric plant to the listed entity. The plant, located on the Madeira River in Rondônia, has total installed capacity of 3,750 MW, meaning the 40% stake represents approximately 1,500 MW of proportional capacity. The transaction values the Jirau stake at roughly R$5.70 billion. Pressure on EGIE3 shares began in early July when shareholders approved the offering at an extraordinary meeting, with investors anticipating dilution effects even while acknowledging the strategic value of adding Jirau to the generation portfolio.
ISA Energia’s follow-on targets up to R$1.3 billion through an initial offering of 22.2 million preferred shares, with potential to double to 44.4 million shares if demand warrants. Based on the July 14 closing price of R$29.25, the base offering would raise approximately R$650 million. Pricing is scheduled for July 23, 2026, with trading of new shares beginning July 27. The transmission company intends to use proceeds primarily to pay Axia Energia R$1.17 billion related to an asset swap transaction. Under that March 2026 agreement, ISA Energia acquired the remaining 49% of Interligação Elétrica do Madeira it did not own, while selling its 51% stake in Interligação Elétrica Garanhuns to Axia. The differential in asset values left ISA Energia with the payment obligation.
ISA Energia’s controlling shareholder, ISA Capital do Brasil, which holds 35.81% of the company, indicated intention to subscribe shares proportional to its stake to avoid dilution. The company also plans to accelerate investments in network reinforcement and improvement projects ahead of upcoming tariff reviews. Both offerings include priority subscription rights for existing shareholders meeting established cutoff dates.
